These Terms of Service (the “Terms”) govern your access to and use of the website at nuwashoe.com (the “Site”) and your purchase of products from us. The Site is operated by NUWA3D Inc, a Colorado corporation (Colorado Secretary of State Entity ID 20258171660), with its principal office at 26 W Dry Creek Cir #610, Littleton, CO 80120, United States (“NUWA,” “we,” “us,” or “our”).

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to place an order. You agree to provide accurate, current, and complete information when you purchase from us.

3. Our products

• Made-to-order manufacturing. Our footwear is produced using additive manufacturing (3D printing) as a single continuous lattice piece from a dual-component flexible photopolymer. Because each item is printed individually, minor variation in color, surface finish, texture, and weight (approximately 90–100 grams per shoe) is inherent to the process and is not a defect.
• Intended use. NUWA footwear is designed for casual everyday wear and recovery. It is not designed or tested for running, hiking, court sports, or repeated high-impact activity. Use outside its intended purpose is at your own risk.
• Sizing. Available in US women’s sizes 6, 6.5, 7, and 8. Please review the fit guidance shown on each product page before ordering.
• Availability. We may add, modify, or discontinue products, and we may limit the quantity of any product available for purchase, at any time without notice.

4. Pricing & payment

• All prices are listed in US Dollars (USD). Applicable taxes and shipping are calculated and displayed at checkout before you confirm your order.
• Payment is processed through the payment methods offered at checkout. By submitting a payment, you represent that you are authorized to use the selected payment method.
• We make reasonable efforts to display accurate prices and descriptions. If an obvious error occurs (for example, an incorrect price or description), we reserve the right to correct it and to cancel any affected order, even after it has been submitted or confirmed. If your payment method has already been charged for a cancelled order, we will issue a full refund.

5. Orders & acceptance

• Your order is an offer to purchase. An order confirmation email acknowledges that we received your order; it does not by itself constitute our acceptance.
• We accept your order when we dispatch the product or otherwise confirm acceptance. We may refuse or cancel any order at our discretion, including where we suspect fraud, where there has been a pricing or product error, or where a product is unavailable. If we cancel an order after charging you, we will refund the amount paid in full.

6. Shipping & delivery

We currently print and dispatch orders within 7–14 business days. Title and risk of loss pass to you upon our delivery of the product to the carrier, except as otherwise required by applicable law.

7. Returns, refunds & exchanges

Returns, refunds, and exchanges are governed by our Refund & Return Policy, which is incorporated into these Terms. In summary: eligible items may be returned within 30 days of delivery for orders shipped within the United States, with a prepaid return label at no cost to you; opened socks are non-returnable for hygiene reasons; and items with a printing defect may be replaced if reported within 14 days of delivery. 8. Intellectual property

The Site and its contents—including text, images, graphics, product designs, and the NUWA name and lattice designs—are owned by or licensed to FLUTE DIGITAL TECHNOLOGY CO., LIMITED and are protected by intellectual property laws. “NUWA” and the lattice design are trademarks of FLUTE DIGITAL TECHNOLOGY CO., LIMITED. You may not copy, reproduce, distribute, or create derivative works from any part of the Site or our product designs without our prior written permission.

9. Acceptable use

You agree not to use the Site or our products to: (a) violate any law or regulation; (b) infringe the rights of others; (c) transmit malicious code or interfere with the operation or security of the Site; (d) scrape, harvest, or resell Site content or our products without authorization; or (e) engage in any fraudulent or deceptive activity. We may suspend or terminate access for any violation.

10. Customer submissions

If you submit reviews, photos, comments, or other content to us or through the Site, you grant NUWA3D Inc a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with our business. You are responsible for the content you submit and represent that you have the right to share it.

11. Disclaimers

Except for the express product warranty and return rights set out in our Refund & Return Policy, and except for rights that cannot be waived under applicable law, the Site and our products are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability and fitness for a particular purpose. Our products are not intended for high-impact athletic use, and we make no warranty of suitability for such use.

12. Limitation of liability

To the fullest extent permitted by law, the total liability of FLUTE DIGITAL TECHNOLOGY CO., LIMITED arising out of or relating to any product or order will not exceed the amount you paid for that product or order. We will not be liable for any indirect, incidental, special, consequential, or punitive damages. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law, including your non-waivable consumer rights.

13. Indemnification

You agree to indemnify and hold harmless FLUTE DIGITAL TECHNOLOGY CO., LIMITED and its officers, directors, and employees from any claims, damages, or expenses arising out of your misuse of the Site or products, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Governing law & venue

These Terms and any dispute arising out of or relating to them or your purchase are governed by the laws of the **Hong Kong Special Administrative Region**, without regard to its conflict-of-laws provisions. You agree that the courts of Hong Kong will have exclusive jurisdiction, and you consent to venue in those courts. This does not deprive you of the protection of any mandatory consumer-protection laws of your place of residence.

15. Changes to these Terms

We may update these Terms from time to time. Changes take effect when we post the revised Terms on the Site with an updated “Last updated” date. Your continued use of the Site or purchase of products after changes are posted constitutes your acceptance of the revised Terms.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the policies referenced above, constitute the entire agreement between you and FLUTE DIGITAL TECHNOLOGY CO., LIMITED regarding your use of the Site and your purchases.
